Terms of Service

Last updated: 2026-10-12

This is an English translation of the Japanese 利用規約, provided for reference. If the two differ, the Japanese version prevails.

These Terms of Service (the “Terms”) set out the conditions for using “mukumo” (the web service provided at mukumo.com and app.mukumo.com, including related apps and APIs; the “Service”) provided by TSUQREA Inc. (株式会社ツクリエ; “we” or “us”). They apply to everyone who uses the Service (“Users”).

Article 1 (Application)

  1. These Terms apply to all relationships between us and Users concerning the use of the Service.
  2. Price lists, help articles and individual notices that we post in the Service or on our website (“Individual Provisions”) form part of these Terms. If these Terms and the Individual Provisions differ, the Individual Provisions prevail.
  3. Personal information is handled under our separate Privacy Policy.

Article 2 (Definitions)

Term Meaning
Organization A unit that a User creates in the Service to group data and members
Owner, admin, member The roles of Users who belong to an Organization. Their permissions are as shown in the Service
User Data Data that Users enter, send or store in the Service, and data imported from external services on a User’s instructions (including LINE friends, messages and form answers, and meeting recordings and their transcripts)
AI Features Features such as conversations, calls, reading aloud, research and proposals by the Service’s AI assistant (named “muku” by default), and the transcription of meeting records
Credits A unit within the Service that is consumed according to the use of AI Features and similar features
External Services Services provided by parties other than us, such as Google, Apple, GitHub, LINE, Slack and Stripe

Article 3 (Registration and accounts)

  1. The Service is intended for corporations and sole proprietors that use it for business, and for their employees and similar persons. Users use the Service as businesses.
  2. Applicants register with a verification code sent to their email address, or with an account of an External Service that we designate (Google, Apple or GitHub). Applicants are deemed to have agreed to these Terms when registration is complete.
  3. We may decline a registration if the registration information is false, if the applicant has previously violated these Terms, or if we otherwise consider it inappropriate. We may not disclose the reason.
  4. Users manage their accounts, passkeys, two-factor authentication settings and API keys at their own responsibility, and must not let third parties use them. Operations performed with an account are deemed to be operations by that User.
  5. The owner of an Organization is responsible for making sure that the members they invite also comply with these Terms.

Article 4 (Fees and payment)

  1. Plan types, fees and included amounts (such as the number of members, sites and keywords, and monthly credits) are as shown on the pricing page and on the billing screen of the Service. Prices are shown excluding tax, and consumption tax is added when we bill.
  2. Paid plans are paid by credit card, through the payment service of Stripe, Inc. Paid plans renew automatically for each period the User chose (monthly or yearly) until the User cancels, and are billed at the start of each period.
  3. Upgrades to a higher plan take effect immediately, and the prorated difference for the rest of the period is billed. Downgrades to a lower plan and cancellations take effect at the end of the paid period.
  4. If payment remains unconfirmed, we may return the Organization to the Free plan.
  5. Monthly credits are granted again on the 1st of each month (Japan time), and unused credits do not carry over to the next month. Extra credits purchased on a paid plan do not expire until they are used up.
  6. Except where required by law, we do not refund fees already paid or the price of purchased credits. We also do not make prorated refunds when a User cancels or downgrades in the middle of a period.
  7. The owners and admins of an Organization can refer the Service to other businesses with the referral link shown in the Organization’s settings. When the first Organization created by a person who opens a referral link and registers for the first time within 60 days of opening it (the “Referred Organization”) pays a paid-plan fee for the first time, we grant 1,000 credits each, as extra credits, to the referring Organization and to the Referred Organization. A referring Organization can receive credits for up to 5 referrals per month (Japan time). If we judge that an Organization has referred itself, such as when a member of the referring Organization creates the Referred Organization, we grant credits to neither Organization. Granted credits cannot be exchanged for cash, refunded or transferred to another Organization, and we may revoke them if we judge that they were obtained by improper means. Arrangements for receiving rewards based on referral results are governed by our separate Partner Terms.

Article 5 (AI Features)

  1. Answers, proposals, summaries, research results and speech recognition by AI Features (“AI Output”) are produced mechanically, and we do not guarantee that they are accurate, complete, up to date or fit for a particular purpose. Users must check AI Output at their own judgment and responsibility before using it.
  2. When AI Features change an Organization’s settings, send LINE messages or perform similar operations, they do so only when a User approves. Operations carried out after approval are treated as the User’s operations.
  3. AI Features are provided using external AI, voice and search services that we choose. What these services are and what information is sent to them are set out in the Privacy Policy.
  4. Users are responsible for checking that what they generate with AI Features does not infringe the rights of third parties.

Article 6 (Connections with External Services)

  1. Users may, at their own judgment, connect External Services such as LINE Official Accounts, Slack, external research services and MCP servers to the Service. The use of External Services is subject to the terms of their providers, and Users must comply with them.
  2. We are not responsible if part of the Service becomes unavailable because of changes to, suspension of, or failures in External Services.
  3. For personal information of third parties that Users import from External Services (such as information about LINE friends), Users are responsible for notifying those third parties, obtaining their consent and taking any other steps the law requires. We handle such information within the scope entrusted to us by Users.

Article 7 (User Data)

  1. Rights in User Data belong to the User or to the rightful owner.
  2. Users grant us, free of charge, permission to store, copy, process and transmit User Data to the extent necessary to provide and maintain the Service, investigate failures and prevent fraud.
  3. We do not use User Data to train AI models, and we do not provide it to third parties for the purpose of training models. How information sent to external AI services to provide the Service is handled is set out in the Privacy Policy.
  4. Users represent that they have obtained the rights and consent needed for the data they enter into the Service.
  5. We take reasonable measures against the loss of User Data, but Users should keep their own copies of important data.
  6. When Users record audio or video of a meeting with the meeting records feature (including when they import audio or video files), they must first tell the meeting participants that the meeting will be recorded and that the recording will be transcribed and handled by the Service’s AI Features, and obtain any consent required by law, by the terms of the service used for the meeting, or by the rules of the participants’ organizations. Recording is done in the User’s browser by capturing the audio of the tab, screen and microphone that the User selects. Personal information of third parties contained in recordings and their transcripts is handled within the scope entrusted to us by Users, in the same way as in Article 6, paragraph 3.

Article 8 (Prohibited conduct)

Users must not do any of the following:

  1. Act against laws or public order and morals, or act in connection with crimes
  2. Infringe the intellectual property rights, privacy, reputation or other rights or interests of us, other Users or third parties
  3. Send spam, deliver advertising to people who have not consented, send messages that violate the terms of External Services such as LINE, or record meetings without telling the participants
  4. Place an excessive load on the Service’s servers or networks, or access the Service in large volumes by automated means (except when using the APIs we provide within their conditions)
  5. Access the Service without authorization, circumvent its authentication or credit mechanisms, or exploit vulnerabilities
  6. Reverse engineer or decompile the Service (except where permitted by law)
  7. Ask AI Features to create information that harms others or illegal information, or attempt to circumvent the safety mechanisms of AI Features
  8. Use the Service or AI Output to develop a competing service without our written consent
  9. Impersonate others or register false information
  10. Provide benefits to, or otherwise cooperate with, anti-social forces
  11. Any other conduct that we reasonably consider inappropriate

Article 9 (Changes, interruption and termination of the Service)

  1. We may change the content of the Service or stop providing part of it. If this has a significant effect on Users, we will give notice in the Service or by email with a reasonable period of time in advance.
  2. We may interrupt all or part of the Service without prior notice for equipment maintenance, failures, natural disasters, the suspension of External Services or other unavoidable reasons.

Article 10 (Suspension and deletion of registration)

If a User violates these Terms, fails to pay fees, or we otherwise consider their use of the Service inappropriate, we may, without prior notice, suspend the use of the Service by that User or Organization, or delete their registration.

Article 11 (Leaving the Service)

  1. Users can leave the Service at any time through the procedure in the Service. However, if a User is the only owner of an Organization that has other members, or has an Organization with an ongoing paid plan, they must first transfer ownership or cancel the plan.
  2. How data is handled after a User leaves or an Organization is deleted is set out in the Privacy Policy.

Article 12 (Disclaimer of warranties)

We do not warrant that the Service (including AI Output, figures such as search rankings, and connections with External Services) is free from defects in fact or in law (including defects in safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose or security, errors and bugs, and infringement of rights). We also do not guarantee that using the Service will achieve particular results, such as search rankings, customer acquisition or sales.

Article 13 (Limitation of liability)

  1. We are not liable for damage suffered by Users in connection with the Service, except where it is caused by our intent or gross negligence.
  2. Even where we are liable despite the preceding paragraph (including where an exemption is not permitted under the Consumer Contract Act or other laws), except where the damage is caused by our intent or gross negligence, our liability is limited to ordinary and direct damage, and the amount is capped at the total fees for the Service paid to us by the User’s Organization during the 12 months going back from the month in which the damage occurred.

Article 14 (Exclusion of anti-social forces)

Users represent and warrant that they are not, and will not in the future be, organized crime groups, members of organized crime groups, companies related to organized crime groups, corporate racketeers (sokaiya) or other anti-social forces. If a User breaches this, we may suspend their use and delete their registration without prior notice.

Article 15 (Notices)

We give notices to Users by posting them in the Service or by sending them to the registered email address. Notices sent by email are deemed to have arrived when they would normally arrive.

Article 16 (Assignment of rights and obligations)

Users may not assign their position or rights and obligations under these Terms to a third party, or pledge them as security, without our written consent. If we transfer the business relating to the Service to another party, we may transfer our position, rights and obligations under these Terms and User Data to the transferee along with that transfer, and Users agree to this in advance.

Article 17 (Changes to these Terms)

We may change these Terms in accordance with Article 548-4 of the Civil Code of Japan. When we do, we will post the content of the change and its effective date in the Service, or send them by email, a reasonable period of time before the effective date.

Article 18 (Governing law and jurisdiction)

These Terms are governed by and interpreted under the laws of Japan. The Hiroshima District Court has exclusive jurisdiction as the court of first instance over any dispute between us and a User concerning the Service.
